Terms of Service for Radio Station Providers

1. Acceptance of Terms

These Terms of Service (“Terms”) govern the relationship between Vipology Holdings Inc. dba Local Radio Now (“Local Radio Now,” “we,” “us,” or “our”) and any radio station or provider of audio content (“you,” “your,” or “Station”) that makes its stream or content (“Station Content”) available through Local Radio Now’s mobile application and related services (collectively, the “Service”).

By signing up for or otherwise using the Service, you acknowledge that you have read, understood, and agree to these Terms. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Overview of the Service

Local Radio Now is a directory and discovery platform that allows end users (“Listeners”) to find and access radio stations that stream their broadcasts online. We do not produce or control the audio content these stations provide; each station retains full responsibility and rights over its own transmissions.

In addition, we create and publish written news and lifestyle content (“Written Content”) within our app. This Written Content is the exclusive property of Local Radio Now and is protected by applicable intellectual property laws. You may access and read this Written Content solely for your personal, non-commercial use. You may not reproduce, redistribute, modify, or otherwise exploit any Written Content without our express prior written consent.

All Written Content is provided for informational or entertainment purposes only. While we strive for accuracy, we do not guarantee its completeness, timeliness, or reliability, and it should not be considered professional advice (legal, medical, financial, etc.). Any reliance on the Written Content is at your own risk, and Local Radio Now disclaims all liability for any actions or decisions you may take based on such content.

3. Station Obligations and Responsibilities

  1. Licensing and Rights
    • You are solely responsible for securing all rights, licenses, and permissions necessary to stream or transmit your Station Content, including any music or other third-party material.
    • If your content is only licensed in certain geographical areas, you must implement any required geo-blocking or territory restrictions.
  2. Compliance with Laws
    • You agree to comply with all applicable laws, rules, and regulations in providing your Station Content, including intellectual property laws, broadcasting regulations, and content restrictions.
    • You will not use the Service in any manner that infringes or misappropriates the rights of third parties or violates any applicable law.
  3. Accurate Information
    • You must provide accurate and up-to-date information when creating your account and listing your Station, including your station name, logos, and any other identifying marks (“Station Marks”).
  4. Content Removal
    • Local Radio Now reserves the right (but has no obligation) to remove or block any Station Content from the Service if we believe it violates these Terms, applicable law, or third-party rights.

4. Grant of License to Local Radio Now

  1. Directory Listing
    • By providing Station Content, you grant us a non-exclusive, royalty-free license to display, publicly perform, transmit, and otherwise make available your Station Content to Listeners via the Service.
    • This license includes the right to display your Station Marks for promotional and informational purposes within the Service.
  2. Advertising
    • You acknowledge that Local Radio Now may display or run advertisements, sponsorships, or promotional materials before, during, or after the playback of your Station Content.
    • You agree that you are not entitled to any revenue share or payment from Local Radio Now for such advertising unless otherwise agreed in writing.
  3. Ownership
    • You retain all ownership rights in your Station Content and Station Marks.
    • Except for the limited license granted to Local Radio Now under these Terms, we do not claim any ownership interest in your Station Content or Station Marks.

5. Modifications to the Service and Terms

  • We may add, remove, or modify features of the Service at any time without prior notice.
  • We may also revise these Terms by posting an updated version. Material changes will be communicated (e.g., via email or in-app notification). Continued use after changes go into effect constitutes your acceptance of the revised Terms.

6. Disclaimers

  1. Service “As Is”
    • Local Radio Now provides the Service “as is” and “as available,” without warranty of any kind, whether express, implied, or statutory.
    • We make no guarantees that the Service will be uninterrupted, error-free, or free from viruses or other harmful components.
  2. Station Content
    • We do not monitor or control Station Content, and make no representations or warranties about its accuracy, legality, or quality.
    • Any reliance on or use of Station Content is solely at the risk of Listeners and you.

7. Limitation of Liability

To the fullest extent permitted by law, neither party shall be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to these Terms or the Service. In no event shall either party’s aggregate liability exceed US $100.

8. Indemnification

You agree to indemnify, defend, and hold harmless Local Radio Now and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your Station Content, your use of the Service, or your breach of these Terms.

9. Termination

  1. Termination by You
    • You may stop using the Service at any time and request removal of your listing by contacting us.
  2. Termination by Us
    • We may remove your Station Content or terminate your access to the Service at any time, for any reason, with or without notice.
  3. Effects of Termination
    • Upon termination, we will remove or disable access to your Station Content and Station Marks within a commercially reasonable period.
    • All provisions of these Terms that should survive termination shall survive, including but not limited to warranty disclaimers, limitation of liability, and indemnification.

10. Dispute Resolution; Governing Law

  1. Governing Law
    • These Terms and any disputes arising hereunder are governed by the laws of the State of California, without regard to its conflict of laws principles.
  2. Arbitration
    • Agreement to Arbitrate: Except for small claims or claims seeking injunctive relief, any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules.
    • No Class Actions: All disputes shall be resolved on an individual basis; neither party may bring claims in a class or representative action.
    • Opt-Out: You may opt out of arbitration within 30 days of first accepting these Terms by notifying us in writing.
  3. Jurisdiction and Venue
    • If arbitration is not enforceable, you consent to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.

11. Miscellaneous

  1. Entire Agreement
    • These Terms constitute the entire agreement between you and Local Radio Now regarding the Service, superseding any prior agreements or understandings.
  2. Notices
    • We may provide notices to you by email or through the Service. You may send notices to us at the contact information we provide within the Service.
  3. Assignment
    • You may not assign these Terms without our prior written consent. We may assign these Terms at our discretion.
  4. Severability
    • If any provision of these Terms is held invalid, the remainder shall remain in full force and effect.
  5. Waiver
    • Any waiver of a breach of these Terms shall not be deemed a waiver of any subsequent breach.
  6. Relationship of the Parties
    • The parties are independent contractors. Nothing herein creates an agency, partnership, or joint venture.
